Acceptance of these terms
By creating an account or otherwise using Relay-It (the Service), operated by Relay-It (we, us, our), you agree to be bound by these terms. If you do not agree to them, do not use the Service.
You must be at least 13 years of age to use the Service. If you are using it on behalf of a business or other organisation, you confirm that you have authority to accept these terms on its behalf.
Description of the service
Relay-It transfers files, images, text, and links between your devices and between people, by means of shared spaces called rooms. Content placed into a room becomes available to every member of that room, on any device.
Relay-It is a transfer service, not a storage service. It is built to deliver content and then dispose of it. It is not a backup service, an archive, or a document management system.
The 30-day expiry
All content sent through the Service is permanently deleted 30 days after it arrives. This occurs automatically, applies on every plan, cannot be extended, and cannot be reversed once it has taken place. It is a core term of this agreement rather than a defect in the Service.
You must not rely on Relay-It as your only copy of any file. Save anything of importance to permanent storage before its 30-day period elapses. We accept no liability for content lost through the operation of this clause.
Content may also cease to be available before 30 days have elapsed: any member of a room may delete any content within it under section 5, and content is removed when a room is deleted.
Accounts
An account is required in order to use the Service. Authentication is by one-time code sent to your email address; the Service does not use passwords. It follows that whoever controls your email inbox controls your account, and you should secure that inbox accordingly.
You are responsible for all activity occurring under your account. You must provide an email address that you control and that reaches you; if you lose access to it, we may be unable to restore your access to the account.
Rooms and other members
Rooms are shared by design. Two consequences of that design are set out here as terms rather than left as undocumented behaviour.
Any member of a room may remove any content from that room, including content that member did not send, and including content that you sent.
The person who created a room can see the email addresses of its members. By joining a room, you accept that your email address is visible to the person who created it. Other members of that room see only a name, which the room's creator may set.
Any person holding an invitation link may join the room to which it relates, up to that room's member limit. Invitation links should be treated as keys and shared only with those you intend to admit. If you created a room, you may remove members from it and delete the room in its entirety.
You are responsible for whom you invite into your rooms and for what you send them.
Plans, pricing, and payment
Relay-It is a paid service. There is no free tier and no advertising. All prices are stated in United States dollars and all payments are processed by Stripe.
Authorisation
By subscribing to Pro you authorise us to charge your payment method on a recurring basis — monthly or annually, according to the plan you choose — until you cancel. The Personal purchase is charged once and does not renew.
The plans are cumulative
The two plans stack rather than replace one another. If you purchase Personal and subsequently subscribe to Pro, your Personal purchase remains yours permanently. Cancelling Pro returns you to Personal access rather than removing your access entirely.
Failed payments
If a Pro payment fails, our payment processor will attempt to collect it over a period of approximately four weeks. If collection has not succeeded at the end of that period, the subscription is cancelled and the account reverts to whatever access it otherwise holds.
Price changes
We may revise prices in future. A revision never applies retroactively to a Personal purchase already made, and we will give notice before a revision affects an existing Pro subscription.
Refunds and cancellation
Personal ($8, one-time)
Refundable in full within 30 days of purchase, for any reason. Write to hello@relay-it.io and request it; no justification is required. After 30 days the purchase is non-refundable.
Pro ($29 per month, or $290 per year)
You may cancel at any time from your account. Cancellation takes effect at the end of the billing period already paid for, and Pro access continues until that date. Prorated refunds are not offered for partial billing periods.
Errors and faults
If you have been charged in error, or the Service has failed to work as described, write to us. We would rather resolve the matter than rely on the clauses above.
Acceptable use
You agree not to use the Service to:
- Act unlawfully, or transmit content that is unlawful to possess or distribute.
- Transmit content you do not hold the rights to transmit, including material infringing the copyright of another person.
- Harass, threaten, defame, or abuse any person, or transmit material depicting the sexual exploitation of children.
- Distribute malware, or attack or attempt to gain unauthorised access to any system, including ours.
- Disrupt or place undue load upon the Service, or circumvent the limits applicable to your plan.
- Resell, sublicense, or redistribute the Service as your own.
We do not monitor the contents of rooms, and the Service is built so that we need not do so. Where we are made aware of use contravening this section, we may remove content or suspend the account responsible under section 12.
Your content
You retain all rights in the content you transmit through the Service. We claim no ownership of it, and no licence beyond the limited operational licence required to provide the Service: to store your content, transmit it to the other members of your rooms, and display it back to you.
We do not read, publish, sell, or use your content to train any model. That operational licence terminates when the content does, which by section 3 is no later than 30 days after it arrives.
Availability and changes to the service
We endeavour to keep the Service available but do not warrant uninterrupted access. Outages, scheduled maintenance, and failures at our infrastructure providers may all interrupt it. We offer no formal uptime guarantee and no service credits.
We may add, alter, or withdraw features over time. We will not reduce plan limits you have already paid for; any alteration to the limits of an existing plan will be an increase.
Were we to discontinue the Service entirely, we would give reasonable notice and would refund Personal purchases made within the preceding 30 days together with any prepaid Pro period.
Disclaimers and limitation of liability
The Service is provided on an "as is" and "as available" basis, without warranties of any kind, whether express or implied, to the fullest extent permitted by law.
To the maximum extent permitted by law, we are not liable for indirect, incidental, special, consequential, or punitive damages, nor for loss of profit, loss of business, or loss of data arising from your use of the Service. This includes content removed by the operation of section 3 and content deleted by another member of a room under section 5.
Where liability cannot be excluded, our total aggregate liability to you is limited to the amount you have paid us in the twelve months preceding the event giving rise to the claim.
Certain jurisdictions do not permit the exclusion or limitation of particular warranties or liabilities. Nothing in these terms removes or restricts any right you hold under consumer protection legislation that cannot lawfully be waived.
Suspension and termination
You may stop using the Service at any time. To delete your account and all information associated with it, write to hello@relay-it.io.
We may suspend or terminate an account that contravenes these terms, and section 8 in particular. Where it is reasonable and safe to do so, we will state the reason and allow an opportunity to remedy the contravention first. Serious cases, including unlawful content and attacks upon the Service, may be acted upon immediately and without notice.
Upon termination, content associated with the account is deleted in accordance with our Privacy Policy.
Governing law
These terms are governed by the laws of the Province of British Columbia and the federal laws of Canada applicable therein. The courts of British Columbia shall have jurisdiction over any dispute arising from them, save where consumer protection legislation in your own jurisdiction confers a right to bring proceedings locally.
Changes to these terms
We may amend these terms from time to time. Where an amendment materially affects you, we will give notice by email or by notice within the application before it takes effect. Continued use of the Service thereafter constitutes acceptance of the amended terms.
If you do not accept an amendment, discontinue use of the Service. Where the amendment falls within 30 days of a Personal purchase, you may request a refund under section 7.
